Please read these Terms and Conditions (“Terms”) carefully before using the services of Host & Flow Automations (“we,” “us,” “our,” or “the Company”). By engaging our services, signing a service agreement with us, or using our website, you (“you,” “the Client”) agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use our services.

1. Agreement to Terms

Host & Flow Automations is a division of Host & Flow Ltd, a company registered in Nigeria under Registered Company No. 9005903. While our company is registered in Nigeria, Host & Flow Automations serves clients across the United States, United Kingdom, Australia, and worldwide, and operates as a remote, international service.

These Terms apply to all services provided by Host & Flow Automations, including but not limited to no-code automation setup, CRM configuration, workflow automation, and related consulting services delivered through platforms such as GoHighLevel, Make.com, Airtable, Monday.com, Zapier, and any other tools we use in the course of delivering our services.

By booking a consultation, signing a service agreement, or making a payment to us, you confirm that you have read, understood, and agreed to these Terms.

2. Description of Services

Host & Flow Automations provides no-code automation and systems-building services, including but not limited to:

  • CRM setup and configuration
  • Workflow and process automation
  • Funnel, website, and landing page builds
  • Database and interface design
  • Integration between business tools and platforms
  • Related consulting and support services

Our services are provided to businesses across the United States, United Kingdom, Australia, Europe, and other regions on a remote, project-by-project basis, unless otherwise agreed in writing.

3. Service Agreements and Digital Signatures

For most projects, we will provide you with a separate written service agreement outlining the specific scope, deliverables, timeline, and cost of your project. This agreement is provided and signed digitally through an electronic signature platform. No physical signature is required.

By signing a service agreement digitally, you agree that your electronic signature carries the same legal weight and effect as a handwritten signature, and that the agreement is binding under applicable electronic transaction laws, including the U.S. Electronic Signatures in Global and National Commerce Act (ESIGN Act), the Uniform Electronic Transactions Act (UETA), and equivalent legislation in your country or region.

If there is any conflict between a signed service agreement and these Terms, the signed service agreement takes priority for that specific project.

4. Payment Terms

Unless otherwise stated in your signed service agreement, all projects require full payment (100%) upfront, before work begins. We do not offer split or installment payments as a standard option.

Payment is due in the currency and through the payment method specified in your invoice or service agreement. Work will not commence until payment has been received and confirmed.

5. Third-Party Platforms and Tools

Many of our services involve building and configuring systems inside third-party platforms (such as GoHighLevel, Make.com, Airtable, Monday.com, Zapier, and others). Please read this section carefully:

  • You are responsible for all subscription and usage fees charged by any third-party platform or tool used in your project. Our fees cover our labor and expertise in building your system, not the cost of the underlying software.
  • We are not responsible for, and do not control, the pricing, features, availability, terms of service, or policy changes of any third-party platform.
  • If you would like us to make a payment on your behalf to a third-party platform (for example, purchasing a subscription for you), you must provide us with the funds to do so in advance. We are not obligated to make third-party payments using our own funds.
  • Any account you hold with a third-party platform remains your account and your responsibility, including its ongoing renewal, security, and compliance with that platform’s own terms of service.

6. Revisions

Each project includes three (3) rounds of revisions as standard, unless a different number is specified in your signed service agreement. Revisions requested within these rounds and within the original agreed scope will be completed at no additional charge.

Requests that fall outside the original scope, or that are requested after your three revision rounds have been used, may be treated as additional work and billed separately, as outlined in Section 8 below.

7. Cancellation and Refund Policy

This section works alongside our separate Refund Policy. Where there is a conflict, the more specific terms of the signed service agreement will apply.

  • If you cancel before any work has started: You are entitled to a full refund of any amount paid.
  • If you cancel after work has started: We will calculate the value of work already completed, along with any third-party costs already incurred on your behalf (such as platform fees or paid resources), and refund the remaining balance, if any, after deducting these amounts.

8. Scope Changes and Additional Work

Our service agreements are built around a specific, agreed scope of work. Any significant change to that original scope, or any request for a new deliverable not included in the original agreement, will require a discussion and may result in additional fees. Where appropriate, we will provide you with an updated quote or a new agreement before proceeding with additional work.

9. Intellectual Property

Upon full payment for a project, ownership of the specific deliverables we build for you (such as your custom automations, workflows, and configurations) transfers to you, except where those deliverables rely on third-party software, templates, or licensed tools that remain the property of their respective owners.

We retain the right to use general knowledge, techniques, and non-confidential methods developed during your project in future work for other clients. We do not reuse your confidential business data, branding, or proprietary content for any other client.

10. Confidentiality

We treat all client information, business data, and project details as confidential. We will not share, sell, or disclose your information to third parties, except where necessary to deliver the agreed services (such as connecting your accounts to the platforms you’ve asked us to work in), or where required by law.

11. Client Responsibilities

To deliver your project effectively, we rely on you to:

  • Provide accurate and timely information, access, and materials needed for the project
  • Respond to requests for feedback or approval within a reasonable timeframe
  • Maintain your own accounts, passwords, and subscriptions for any third-party platforms used
  • Review deliverables and communicate any concerns during the agreed revision period

Delays caused by late responses, missing information, or unavailable access from your side may affect project timelines and are not the responsibility of Host & Flow Automations.

12. Limitation of Liability

To the fullest extent permitted by law, Host & Flow Automations, its team, and its representatives shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising out of or related to your use of our services, even if we have been advised of the possibility of such damages.

Our total liability for any claim arising from our services shall not exceed the total amount paid by you to us for the specific project giving rise to the claim.

We do not guarantee specific business outcomes, results, revenue, or performance metrics from any automation, workflow, or system we build. Results depend on many factors outside our control, including your own business operations, third-party platform performance, and market conditions.

13. Disclaimer of Warranties

Our services are provided on an “as is” and “as available” basis. While we take care to test and deliver working systems, we make no warranties, express or implied, regarding uninterrupted or error-free operation, particularly where issues arise from third-party platform changes, outages, or policy updates outside our control.

14. Termination

We reserve the right to suspend or terminate services to any client who violates these Terms, engages in abusive or unlawful conduct toward our team, or fails to make required payments. In such cases, the cancellation and refund terms outlined in Section 7 will apply where relevant.

15. Force Majeure

Neither party shall be held liable for any failure or delay in performance resulting from circumstances beyond their reasonable control, including natural disasters, internet or platform outages, government action, or other events of force majeure.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, the country of registration of Host & Flow Ltd (Registered Company No. 9005903), without regard to conflict of law principles. This applies regardless of the country in which you, the Client, are located.

Any disputes arising from these Terms or our services shall first be addressed through good-faith negotiation between the parties before pursuing formal legal action.

17. Changes to These Terms

We may update these Terms from time to time. Any changes will be posted on this page with an updated “Last Updated” date. Continued use of our services after changes are posted constitutes acceptance of the revised Terms.
